End User License Agreement (EULA) for all MATools Plugins

This End User License Agreement ("EULA") is a legal agreement between you ("User") and MATools ("Licensor") for the use of any Licensor developed plugin ("Software") for the grandMA3 platform. By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. License Grant

Licensor grants you a non-exclusive, non-transferable, revocable license to use the Software for its intended purpose on compatible devices. This EULA grants you a license to use the Software but does not transfer any ownership rights to you. The Software is sold as a licensed product, meaning you are purchasing the right to use it under the terms of this EULA, not the Software itself.

2. No Affiliation

Licensor is not affiliated with MA Lighting International GmbH or MA Lighting Technology GmbH. The Software is independently developed and is not endorsed by, associated with, or connected to MA Lighting in any way.

3. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, whether express or implied. Licensor disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

4. Limitation of Liability

In no event shall Licensor be liable for any damages, including but not limited to direct, indirect, incidental, special, or consequential damages, or damages for loss of data, profits, or revenue, arising out of or in connection with the use or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

5. Support

Licensor does not guarantee any support for the Software. However, Licensor aims to provide support where possible, at its sole discretion.

6. Data Collection

Licensor may collect and analyze usage statistics related to your hardware, software, error reports, and other non-personal data to assist in the further development and improvement of the Software. No personal data will be collected or stored.

7. Prohibited Actions

  • Copy, modify, distribute, or create derivative works based on the Software.
  • Attempt to reverse engineer, decompile, decrypt, or disassemble the Software.
  • Attempt to bypass, disable, or otherwise interfere with the licensing system or any security features of the Software.

8. Ownership

The Software is licensed, not sold, to you by the Licensor. Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights. By purchasing a copy of the Software, you are obtaining a license to use it under the terms specified in this EULA. You acknowledge that no ownership of the Software or its intellectual property is transferred to you through the purchase.

9. Third-Party Software

The Software may include or depend upon certain third-party software libraries that are licensed under open-source licenses, including but not limited to the GNU General Public License (GNU GPL) and the GNU Lesser General Public License (GNU LGPL). Use of any such third-party libraries is governed by the respective licenses of those third-party libraries. You agree to comply with the terms of those licenses, which may grant additional rights or impose specific obligations beyond those set forth in this EULA. Licensor disclaims any liability or warranty for third-party software components, and those components are provided "as-is" under their respective open-source licenses.

10. Use with Third-Party Devices or Software

The Software may be used to control or interact with third-party devices or software. Licensor accepts no responsibility or liability for any damages to such third-party devices or software, including but not limited to damages arising from malfunctions, incompatibility, or errors in communication between the Software and third-party devices or software.

Furthermore, Licensor disclaims all liability for any misuse of the Software in controlling third-party devices or software, including but not limited to:

  • Using the Software for malicious, discriminatory, or exploitative purposes.
  • Using the Software in violation of any applicable laws or regulations.
  • Any harm, damage, or injury caused by improper or illegal use of third-party devices or software in conjunction with the Software.

You are solely responsible for ensuring that your use of the Software in combination with third-party devices or software complies with all applicable laws, regulations, and ethical standards.

11. Acceptance of Terms

By installing, copying, or otherwise using the Software, you acknowledge that you have read and understood this EULA and agree to be bound by its terms.

12. Termination

This EULA is effective until terminated. Licensor may terminate this EULA at any time without notice if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

13. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

14. Severability

If any provision of this EULA is found to be invalid or unenforceable, the remainder of this EULA shall remain in full force and effect.

15. Entire Agreement

This EULA constitutes the entire agreement between you and Licensor with respect to the Software and supersedes any prior or contemporaneous understandings or agreements.
